Terms By accessing this Website, accessible from www.zayanitsolution.com, you are agreeing to be bound by these Website Terms and Conditions of Use and agree that you are responsible for the agreement with any applicable local laws. If you disagree with any of these terms, you are prohibited from accessing this site.
Service No other terms and conditions shall apply to the provision of Services unless agreed upon in writing between the Supplier and the Client. In the event of a conflict between these terms and conditions and any specific terms and conditions agreed and signed by both parties, the specific terms and conditions will take precedence.
With effect from the commencement date stated in the quotation and in consideration of the Fees being paid in accordance with these Terms and Conditions, the Supplier shall provide the Services to the Client.
The Supplier shall use reasonable care and skill in its performance of the Services and shall ensure compliance with any and all relevant codes of practice.
The Supplier shall use its best and reasonable endeavours to complete its performance of the Services within the time agreed as set out in this quotation; however time will not be of the essence in the performance of these obligations.
Payment for ongoing services is to be made by the 1st of the Month in advance of the service being rendered.
No order which has been accepted by the Supplier may be cancelled by the Client except with the agreement in writing of the Supplier on the terms that the Client shall indemnify the Supplier against all loss.
Delivery and installation will be made during normal working hours, unless otherwise explicitly agreed upon in writing by both parties.
Customers must report any kind of project damages, or errors within five (05) days of the delivery date of that project.
Exclusive Use Client understands and agrees that the information contained in this Proposal and the related drawings, plans and documents (collectively, “Plans'') are Supplier exclusive property until handover all the project. Supplier grants Customer a limited license to use the Plans solely for purposes of this order(till all the payment has not completed). Client shall not disclose, use in any portion, or reproduce; in whole or in part, the Plans without Supplier prior express written consent. Client shall immediately return to Supplier the Plans and all copies thereof to Supplier if Client does not engage Supplier for the work. Supplier, it’s successors and assigns, retain all common law, statutory and other reserved rights, including copyrights, related to Plans and shall have the right to bring appropriate legal action against Client and third parties to enforce such rights.
Prices Price (Dealing) should be confirmed within thirty (30) days from date of proposal.The Client shall be solely responsible for additional labor costs resulting from overtime work performed at the Customer’s request which is not mentioned in the previous consultation. So the Client shall pay the Supplier for any additional services provided by the Supplier. Price (Dealing) may not include applicable sales, use, or excise taxes. Such taxes shall be added to the invoice at the time of billing, and where Supplier is required by law to collect said taxes, are the sole responsibility of Client unless Client provides Supplier with a proper tax exemption certificate.
Acceptance/Contract Acceptance of the proposal is only upon receipt by Supplier of this Agreement dated and signed by Client. Having issued the quotation which is a contractual offer to provide the Services, the Supplier agrees to enter into a contract for the provision of Services upon the Client’s written acceptance of this quotation and of these Terms and Conditions. If any unexpected circumstance arises from the client side, the Supplier has the right to cancel the order before or after the Client’s acceptance.
Cancellation All orders and Plans are not subject to cancellation after Customer’s acceptance has been received. Customer acknowledges that Seller will have expended considerable resources and time in preparing the order(s) and Plans on behalf of Customer which are not otherwise recoverable.
General Liability The Supplier may terminate the provision of the Services immediately if: (a) the Client commits a material breach of its obligations under these Terms and Conditions; or (b) the Client is or becomes the subject of a bankruptcy order.
Services may be cancelled once the minimum contractual period has passed with the relevant notice depending on the service being provided.
Payment Terms Following the Client’s acceptance of the quotation, the Supplier shall invoice the Client for the Fees.
The Client shall pay the Fees due within 30 days of the date of the Supplier’s invoice or otherwise in accordance with any credit terms agreed between the Supplier and the Client.
Time for payment shall be of the essence of the Contract between the Supplier and the Client.
If the Client fails to make payment within the period mentioning the agreement, the Supplier shall charge some portion of money (Dealing amount) or take a legal action against the client based on the Bangladesh bank’s terms and policy.
The Deposit shall be non-refundable unless the Supplier fails to provide the Services and is at fault for such failure (where the failure is not the fault of the Supplier, no refund shall be made).
If the Client does not pay the Deposit to the Supplier in accordance with negotiation, the Supplier shall have the right to withhold provision of the Services until the Deposit is received or may terminate in accordance with company policy.
Property & Data Protection The Supplier reserves all copyright and any other intellectual property rights (if any) which may subsist in the products of, or in connection with, the provision of the Services. The Supplier reserves the right to take such action as may be appropriate to restrain or prevent the infringement of such intellectual property rights.
For complete details of the Supplier’s collection, processing, storage, and retention of personal data including, but not limited to, the purpose(s) for which personal data is used, the legal basis or bases for using it, details of the Client’s rights and how to exercise them, and personal data sharing (where applicable),
Communications behalf of, the party giving notice (or a duly authorised officer of that party).
Notices shall be deemed to have been duly given:
(a) when delivered, if delivered by courier or other messenger (including registered mail) during the normal business hours of the recipient;
(b) when sent, if transmitted by fax or email and a successful transmission report or return receipt is generated; (1) on the fifth business day following mailing, if mailed by national ordinary mail; or (2) on the tenth business day following mailing, if mailed by airmail.
All notices under these Terms and Conditions shall be addressed to the most recent address, email address or fax number notified to the other party.
Security Interest Customer hereby grants and Seller retains a security interest in the subject matter of this agreement to secure the payment of indebtedness remaining unpaid hereunder, including but not limited to all hardware, software and any and all other general intangibles associated with Seller’s work.. Customer agrees to execute financing statements and to perform such other actions as Seller requires in connection with such security interest.
Miscellaneous Terms and conditions as set forth herein may be altered only upon the written approval of both the Customer and the Seller. Parties agree to conduct transactions by electronic means.
Law and Jurisdiction These Terms and Conditions (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of People's republic of Bangladesh.
Any dispute, controversy, proceedings or claim between the Seller and the Buyer relating to these Terms and Conditions (including any non-contractual matters and obligations arising therefrom or associated therewith) shall fall within the jurisdiction of the courts of People's republic of Bangladesh.
